Environmental Due Diligence for Mergers and Acquisitions (M&A)

Tailored Environmental Due Diligence Services for M&A Investments

Environmental liabilities can pose significant risks when acquiring assets in the oil and gas sector where air quality violations, soil contamination, and/or water pollution could lead to costly cleanup efforts and fines. Identifying potential risks prior to closing allows time to mitigate or resolve issues that could otherwise be deal killers.

Our Environmental Due Diligence Services for Seamless M&A Transactions

Environmental Due Diligence (EDD) is a process of observing and assessing a target property’s environmental condition and potential risk. Altamira works in tandem with the client to assemble the Scope of Services that addresses the items lined out in the Purchase Sale Agreement (PSA). Our EDD generally falls into one of two categories:

  1. Field Inspections with Regulatory Desk Top Research
  2. Regulatory Desk Top Research

Regulatory Desk Top Research with field inspections. Altamira works with the client to put together a list of data points that need to be collected in the field. This list usually contains:

  1. Collection of equipment that is necessary when reviewing air permits
  2. Condition of the pad, equipment and containment
  3. Any spills or the appearance of spills on or off pad their size and appearance.

This list is then implemented into our gathering application for our field inspectors and allows for consistency of data collection among inspectors and facilities. Altamira researches all regulatory databases, federal and state and any information that is provided in the data room.

Regulatory Desk Top Research only is conducted when time does not allow for field inspections. Altamira researches all regulatory databases, federal and state and any information that is provided in the data room. Altamira also reviews any available aerial photographs of the facilities looking at equipment and condition of the pads.
